Terms and Conditions · gynxtra GmbH

1 · Scope and Contracting Parties

These Terms and Conditions ("Terms") govern the contractual relationship between gynxtra GmbH ("gynxtra", "we") and the respective patient ("patient", "you") within the telemedical treatment programme for women in peri- and post-menopause.

Medical responsibility lies with Dr. med. Bettina von Seefried (FMH Gynaecology) as the licensed physician. Coaching services are provided by qualified staff on behalf of gynxtra.

By booking the initial consultation, the patient accepts these Terms.

2 · Subject Matter and Services

gynxtra offers an integrated telemedical programme consisting of:

2.1 Initial Consultation (one-off CHF 250)

  • Structured medical history questionnaire in the Patient Cockpit (around 90 physician-curated questions across 9 topic blocks), completed beforehand
  • 1:1 video consultation with the treating specialist (FMH)
  • Personal medical assessment of your situation
  • Medical recommendation on whether and which further diagnostics make sense
  • Consideration of any existing prior findings or your own diagnostics
  • Where there is a medical indication, and provided that assessment without a physical examination is medically justifiable in the individual case, the physician may issue an initial prescription and certify incapacity for work. There is no entitlement to either; the decision rests with the physician in the exercise of her professional judgement. Active substances whose safe initial prescription requires knowledge of current laboratory values, in particular GLP-1 receptor agonists (semaglutide, tirzepatide) as well as testosterone and DHEA, are prescribed only once the required baseline values are available (from the Diagnostics Package under clause 2.2 or equivalent current prior findings). For off-label substances, prescription additionally takes place only after separate information/consent under clause 5.
  • No obligation to proceed

2.2 Targeted diagnostics (only on medical recommendation)

  • Home blood-test kit (TAP II), a metabolic and hormone check with 8 markers (dispatch and analysis via laboratory partner)
  • Laboratory analysis of your blood values in a certified Swiss laboratory
  • Results consultation: a dedicated 1:1 video consultation with the treating physician, with a review of your values and a written treatment plan including findings report (combined PDF)

2.3 Physician-led care (CHF 190 per month or CHF 285 per quarter)

  • Medical follow-up consultations and check-ins at the medically recommended cadence
  • Prescription refills with dispatch via the partner pharmacy (Hysek-Apotheke). Dispatch requires a delivery address in Switzerland.
  • Wellbeing and adherence tracking in the Patient Cockpit
  • Chat with the medical team in the patient area
  • Obtaining the prescribed medicines at any location outside Switzerland is not part of the service. Whether a Swiss prescription can be dispensed there is governed by the applicable local law.
  • Ongoing treatment is generally planned over six months; the medically appropriate form of follow-up is agreed after the initial consultation.

3 · Eligibility for Treatment

3.1 General requirements

By concluding the contract, the patient confirms:

  • Age of majority (at least 18 years)
  • Successful completion of the Fit-Check (eligibility screening)
  • Exclusion criteria: no active cancer therapy · not pregnant or breastfeeding · no known contraindications for the substances envisaged (HRT, GLP-1 agonists, off-label substances)
  • Truthful disclosure during the medical history and consultation
  • Consent to data processing pursuant to the Privacy Policy

3.2 Additional requirements for diagnostics and ongoing care

For targeted diagnostics (sec. 2.2) and ongoing medical care (sec. 2.3), the following apply in addition:

  • Residence in Switzerland
  • A delivery address in Switzerland for laboratory shipments and medication deliveries

3.3 Territorial scope

gynxtra is a Swiss provider. All medical services are rendered in Switzerland, by physicians holding a Swiss licence to practise, under Swiss law and in accordance with Swiss professional standards. The place of performance is Switzerland, irrespective of the location from which the patient attends the consultation.

gynxtra directs its offering exclusively at the Swiss market and does not render services under the law of any other state. Where the patient attends a consultation from a location outside Switzerland, it is her responsibility to establish whether, and subject to what conditions, she may receive medical services from Switzerland at that location, have a Swiss prescription dispensed, and obtain and use the prescribed medicines. gynxtra owes neither the verification nor the observance of those local requirements.

Medicines and test kits are dispatched exclusively to delivery addresses in Switzerland (secs. 2.2 and 2.3).

4 · Process and Patient Obligations

4.1 The patient undertakes to complete the medical history fully and truthfully, to return the blood-test kit on time where a diagnostics package has been booked, and to attend appointments or reschedule them in good time.

4.2 In medical emergencies or acute deterioration, the patient must immediately contact the nearest emergency department or the emergency number responsible for her location; in Switzerland this is 144, elsewhere in Europe 112. The telemedical platform is not designed for emergencies. gynxtra cannot provide, arrange or procure emergency or acute care at any location.

4.3 The patient informs the treating physician of any change in health status, any new medication or any relevant symptoms.

4.4 Refill orders are triggered exclusively on the basis of a valid follow-up prescription (doctor check-in). Self-ordering is not possible.

5 · Off-Label Use and Patient Information

Certain substances (in particular GLP-1 receptor agonists such as semaglutide and tirzepatide, as well as testosterone and DHEA) may be prescribed off-label within the programme, i.e. outside the indication approved by Swissmedic. Prescription is made in accordance with Art. 26 Abs. 2 HMG, in line with the current state of medical science and subject to an enhanced duty of information.

  • The patient receives separate written information in the Patient Cockpit before any off-label prescription
  • Prescription is issued only following written consent (digital signature with version stamp)
  • The information covers risks, side effects, alternatives and discontinuation options
  • Off-label consents may be withdrawn at any time (withdrawal takes effect for the future)

5a · Release from Medical Professional Secrecy

By concluding the contract, the patient releases the treating physician, to the extent necessary, from professional secrecy under Art. 321 StGB vis-à-vis the processors listed in the Privacy Policy (in particular cockpit hosting, database, laboratory analytics, medication dispatch, payment processing, communications).

The release is limited to the data and processes required to perform the contract. All processors are themselves contractually bound to confidentiality (Data Processing Agreements / DPAs). The patient may revoke this release at any time; revocation results in termination of the treatment relationship, as contract performance is technically not possible without these data flows.

6 · Prices, Payment Terms, VAT

6.1 The prices set out in clause 2 are in Swiss francs (CHF). Medical services (consultations, diagnostics, prescriptions) are exempt from VAT under Art. 21 Abs. 2 Ziff. 3 MWSTG. Statutory VAT applies to non-medical service components (e.g. coaching, platform use) where applicable.

6.2 Payment is processed via Stripe (credit card, debit card, TWINT, Apple Pay, Google Pay). Invoicing outside of Stripe is not provided.

6.3 The initial consultation is charged once at booking. Where targeted diagnostics are medically recommended, the scope and costs are discussed before they begin. Physician-led care is charged monthly or quarterly in advance, depending on the medically recommended form of follow-up.

6.4 Medication costs are billed separately by the partner pharmacy (Hysek), unless expressly stated otherwise.

6.5 Rescheduling and cancellation: Booked appointments may be rescheduled or cancelled up to 48 hours before the agreed time via the link in the booking confirmation. If cancelled in time, any payment already made will be refunded or, on request, credited towards a new appointment. For cancellations less than 48 hours before the appointment and in the event of no-show, the service is charged in full and no refund is made. The voluntary right of withdrawal under clause 8.1 does not apply to such short-notice cancellations. In cases of documented important reasons (in particular illness or emergency), gynxtra may at its own discretion grant a one-time free rescheduling.

7 · Contract Term, Termination, Pause

7.1 Initial Consultation: One-off service. The service is fully rendered once the video consultation has taken place.

7.2 Diagnostics Package: One-off service, bookable only on medical recommendation. The service is fully rendered once the results consultation has taken place and the treatment plan has been handed over. As an individual treatment plan is always prepared following the results consultation, a refund on grounds of a change of mind is excluded from that point onwards. Statutory claims of the patient in the event of defective or non-conforming performance remain expressly reserved.

7.3 Physician-led care: Medical care is generally planned over six months. This planning is a clinical recommendation and creates neither a minimum term nor any commitment. As regards cancellation: monthly follow-up may be cancelled before the next prescription is issued. Quarterly follow-up is binding for the respective quarterly treatment period.

7.4 Pause: The patient may pause physician-led care at any time on medical or personal grounds (max. 90 days). No charges accrue during the pause; the remaining term is extended accordingly.

7.5 Extraordinary termination: Both parties may terminate the contract at any time for good cause (in particular medical indication against continuation, serious breach of the Terms).

7.6 Continuity of Care: Upon termination by gynxtra (in particular on medical grounds), the treating physician ensures the patient's ongoing medical care until handover to another physician, a general practitioner or a clinic. On request, the patient receives her complete patient record in a machine-readable format (treatment plan, laboratory findings, consultation notes) for forwarding to the receiving practitioner. Where the patient receives treatment from a location outside Switzerland, gynxtra discharges this obligation by releasing the complete patient record without delay and by granting a reasonable transition period. Naming a receiving physician or institution at her location is the patient's responsibility. This obligation follows from Art. 7 FMH-Standesordnung.

8 · Right of Withdrawal

8.1 Swiss law does not provide a statutory right of withdrawal for telemedical online contracts under OR Art. 40b et seq. gynxtra voluntarily grants the patient a right of withdrawal of 14 days from the conclusion of the contract, provided the service has not yet been rendered.

8.2 Once performance of the service has begun (e.g. completion of the initial consultation, dispatch of the blood test kit under a booked diagnostics package, issuance of a prescription), the right of withdrawal lapses for the respective part of the service. Pro-rata refunds for parts not yet rendered are possible at gynxtra's discretion.

8.3 Cancellation and commitment periods for physician-led care follow the medically recommended monthly or quarterly form of follow-up (see clause 7.3).

8.4 Withdrawal declarations must be made in text form by email to hello@gynxtra.ch.

9 · Data Protection

The processing of the patient's personal data is governed by the separate Privacy Policy of gynxtra GmbH as well as by the revised Swiss Federal Act on Data Protection (revDSG, in force since 1 September 2023).

In particular:

  • Health data qualifies as sensitive personal data
  • Processing takes place only with explicit consent
  • Third-country transfers (e.g. Stripe, Daily.co) only occur with appropriate safeguards (standard contractual clauses)
  • Patients have rights of access, rectification, deletion and data portability at any time

10 · Liability

10.1 gynxtra is liable in accordance with statutory provisions for intent and gross negligence.

10.2 Liability for slight negligence in respect of financial losses is excluded to the extent permitted by law. Statutory provisions apply to personal injury.

10.3 gynxtra is not liable for damages arising from false statements by the patient, failure to follow medical instructions, unauthorised dose adjustments or use of the platform in emergencies.

10.4 In the event of technical failures of the platform (cockpit, video call), gynxtra endeavours to restore service as quickly as possible. No availability guarantee is given.

11 · Communication and Electronic Delivery

11.1 The patient accepts that contractual documents, appointment reminders, treatment plans and prescriptions are delivered electronically (email, Patient Cockpit, optionally WhatsApp upon explicit consent).

11.2 The patient keeps her contact details up to date in the Patient Cockpit.

11.3 WhatsApp communication only takes place with a separate opt-in and can be withdrawn at any time via the profile settings.

12 · Amendments to the Terms

gynxtra may amend these Terms, in particular in response to legal changes or extensions of the service offering. Material changes will be announced to the patient at least 30 days in advance by email and in the Patient Cockpit. If the patient does not object within this period, the new Terms are deemed accepted. In the event of objection, the patient has an extraordinary right of termination.

13 · Governing Law and Jurisdiction

13.1 This contract is subject exclusively to Swiss law, excluding conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The place of performance for all services is gynxtra's registered office in Switzerland.

13.2 The place of jurisdiction is Zurich. For consumer contract disputes with a value below CHF 30,000, the patient may alternatively bring proceedings at the court of her canton of residence (ZPO Art. 32 ff.). Mandatory provisions protecting consumers at their place of residence remain reserved.

14 · Severability

Should individual provisions of these Terms be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the original economic purpose.
